If using CorpusIQ on behalf of an organization, designated administrators have the ability to manage user access, permissions, and organizational settings. Administrators are responsible for appropriate configuration and user management within their organization's account.

2. Product and AI Usage

2.1 AI and Automated Systems

CorpusIQ utilizes artificial intelligence and automated systems to retrieve, process, and present information from connected data sources. These systems are designed to assist with data retrieval and analysis but operate within the limitations of current AI technology.

2.2 System-Generated Responses

All responses and outputs generated by CorpusIQ are produced by automated systems. While we strive to provide accurate and relevant information, AI-generated content may contain errors, omissions, or inaccuracies.

2.3 No Accuracy Guarantee

CorpusIQ does not guarantee the accuracy, completeness, or reliability of any information, responses, or outputs provided by the platform. Users are responsible for independently verifying all information before making decisions based on platform outputs.

2.4 User Responsibility

You are solely responsible for how you use information obtained through CorpusIQ. The platform is a tool to assist with information retrieval and should not be relied upon as the sole basis for critical business, legal, financial, or medical decisions.

3.2 Model Training and Customer Content

CorpusIQ will not use customer content to train foundation models without explicit written permission. Your data is used solely to provide the services you have requested and is not incorporated into our system's training data or used to improve AI models unless you provide separate written authorization for such use.

3.3 Permission-Based Access

CorpusIQ accesses your connected data sources only with your explicit permission and only to the extent necessary to provide the requested services. You control which data sources are connected and can revoke access at any time.

3.4 User Responsibility for Granted Scopes

You are responsible for the permissions and access scopes you grant to CorpusIQ. Ensure that you understand what data will be accessible before granting permissions. CorpusIQ is not liable for any consequences resulting from overly broad permissions granted by users.

You acknowledge and accept the inherent security risks of transmitting data over the internet and storing data electronically. You agree that CorpusIQ will not be held responsible for any security breach unless caused by our gross negligence or willful misconduct.

5. Web3 and Decentralized Principles

5.1 No Custody

CorpusIQ does not take custody of your data or assets. You maintain control over your data sources and any connected systems at all times. We do not hold, manage, or control your data on your behalf.

5.2 No On-Chain Guarantees

If CorpusIQ integrates with blockchain or distributed ledger technologies in the future, we make no guarantees regarding the immutability, permanence, or availability of on-chain data. Blockchain technology has inherent risks and limitations.

5.3 User Wallet and Key Responsibility

If applicable to your use of CorpusIQ, you are solely responsible for maintaining the security of your private keys, wallet credentials, and authentication methods. CorpusIQ cannot recover lost keys or credentials and will not be liable for any loss resulting from compromised keys.

6. Compliance and Regulatory

6.1 Alignment with Regulatory Frameworks

CorpusIQ is designed with consideration for applicable data protection and privacy regulations, including GDPR, CCPA, and other relevant frameworks. We implement appropriate technical and organizational measures to support compliance.

6.2 No Certification or Regulatory Approval Claims

Unless explicitly stated in writing, CorpusIQ does not claim to hold specific regulatory certifications or approvals. Any compliance claims should be verified independently. It is your responsibility to ensure that your use of CorpusIQ meets your organization's regulatory requirements.

7. Acceptable Use

7.1 Prohibited Activities

You agree not to use CorpusIQ to:

• Violate any applicable laws, regulations, or third-party rights
• Transmit harmful, threatening, abusive, or harassing content
• Distribute malware, viruses, or other malicious code
• Attempt to gain unauthorized access to systems or networks
• Interfere with or disrupt the platform's operation or infrastructure
• Engage in data scraping, harvesting, or automated data collection beyond intended use
• Impersonate others or misrepresent your affiliation with any entity
• Use the platform for fraudulent or deceptive purposes

7.3 No Unlawful Use

You agree to use CorpusIQ solely for lawful purposes. You are responsible for ensuring that your use of the platform complies with all applicable laws and regulations in your jurisdiction.

8. Intellectual Property

8.1 CorpusIQ Platform Rights

CorpusIQ retains all intellectual property rights in the platform, including software, algorithms, user interfaces, documentation, and related materials. These terms do not grant you any ownership rights to CorpusIQ's intellectual property.

8.2 User Content Rights

You retain all intellectual property rights to your content, data, and files. You grant CorpusIQ a limited, non-exclusive license to access, process, and transmit your content solely as necessary to provide the services.

8.3 No License Beyond Usage

The license you grant to CorpusIQ extends only to the extent necessary to operate the platform and provide the services. We do not acquire any broader rights to your content and will not use it for purposes beyond service provision.

8.4 Third Party Services and Integrations

CorpusIQ may integrate with or rely upon third-party services, APIs, and data sources. The availability and functionality of these integrations depend on the third-party providers and are subject to their respective terms of service and policies. CorpusIQ is not responsible for changes, interruptions, or discontinuations of third-party services. 8.5 Feedback and Suggestions

If you choose to provide feedback, suggestions, or ideas about CorpusIQ, you grant us a non-exclusive, worldwide, royalty-free license to use such feedback to improve our services. This license is limited to service improvement purposes and does not transfer ownership of your customer content or data. Providing feedback is entirely optional.

9. Disclaimers

9.1 As-Is Provision

CorpusIQ is provided "as is" and "as available" without warranties of any kind, either express or implied. We disclaim all warranties, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.

9.2 No Warranties

CorpusIQ makes no warranties regarding the accuracy, reliability, availability, or completeness of the platform or its outputs. We do not warrant that the service will be uninterrupted, error-free, or secure.

9.3 No Uptime Guarantees

We do not guarantee any specific uptime or availability level for the platform. The service may be subject to downtime for maintenance, updates, or due to factors beyond our control.

10. Limitation of Liability

10.1 Liability Cap

To the maximum extent permitted by applicable law, CorpusIQ's total liability to you for all claims arising out of or related to these terms or your use of the platform shall not exceed the amount you paid to CorpusIQ in the twelve months preceding the claim, or one hundred dollars ($100), whichever is greater.

10.2 Exclusion of Indirect Damages

In no event shall CorpusIQ be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, even if advised of the possibility of such damages.

10.3 Basis of the Bargain

You acknowledge that these limitations of liability are fundamental elements of the agreement between you and CorpusIQ and that the platform would not be provided without such limitations.

11. Indemnification

11.1 Customer Indemnification Obligations

You agree to indemnify, defend, and hold harmless CorpusIQ, its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with: (a) your use or misuse of the platform; (b) your violation of these terms; (c) your violation of any third-party rights; (d) any unlawful, harmful, or infringing content you submit or process through the platform; or (e) your breach of any laws or regulations.

11.2 Defense and Settlement

CorpusIQ reserves the right to assume exclusive defense and control of any matter subject to indemnification by you, and you agree to cooperate with our defense of such claims. You may not settle any claim that affects CorpusIQ without our prior written consent.

12. Termination

12.1 Right to Suspend or Terminate

CorpusIQ reserves the right to suspend or terminate your access to the platform at any time, with or without cause, and with or without notice. Reasons for termination may include violation of these terms, fraudulent activity, abuse of the platform, security risks, non-payment of fees if applicable, or to comply with legal requirements or law enforcement requests.

12.2 User Obligations on Termination

Upon termination of your account, you must immediately cease all use of the platform. You are responsible for exporting any data you wish to retain before termination. CorpusIQ is not obligated to maintain or provide access to your data after account termination.

12.3 Effect of Termination

Termination does not relieve you of any obligations incurred prior to termination. Sections of these terms that by their nature should survive termination will continue to apply, including provisions related to intellectual property, disclaimers, limitations of liability, and indemnification.

12.4 Data Handling Upon Termination

Upon termination, access to your account and data will be removed. CorpusIQ may retain certain data as required by law or for legitimate business purposes, such as backup retention periods, legal compliance, or dispute resolution. Retained data will be handled in accordance with our Privacy Policy and applicable data protection laws. We are under no obligation to store or return data after the termination period.

13. Governing Law

13.1 Jurisdiction

These Terms and Conditions shall be governed by and construed in accordance with the laws of the State of Arizona, United States, without regard to its conflict of law provisions. Any disputes arising from these terms or your use of CorpusIQ shall be subject to the exclusive jurisdiction of the courts located in Maricopa County, Arizona.

13.2 Dispute Resolution

Before pursuing formal legal action, the parties agree to attempt to resolve disputes through good-faith negotiation. If resolution cannot be achieved within 30 days, either party may pursue available legal remedies.

14. Changes to Terms

14.1 Right to Update

CorpusIQ reserves the right to update, modify, or replace these Terms and Conditions at any time at our sole discretion. Changes may be made to reflect changes in our services, legal requirements, or business practices.

14.2 Effective Date of Changes

Updated terms become effective immediately upon posting to our website with a revised effective date. Your continued use of CorpusIQ after changes are posted constitutes acceptance of the modified terms. Material changes may be communicated via email or platform notification.

15. General Provisions

15.1 Entire Agreement
